Applies to the OpenPartner official website, official distribution, online services, commercial plugins and related enterprise services
Welcome to OpenPartner. OpenPartner is an open-source enterprise agent and collaboration platform provided and maintained by Shenzhen Sogood Technology Co., Ltd. (hereinafter "Sogood", "we" or the "platform operator"). This agreement applies when you visit https://openpartner.sogood360.com/, or use the official OpenPartner distribution, the online services, the official documentation, proprietary plugins, model proxying, technical support, deployment and operations, custom development, or any other related service provided by Sogood.
By registering, signing in, downloading, deploying, accessing, using or otherwise making actual use of the relevant services, you confirm that you have read, understood and agree to be bound by this agreement. If you use the services on behalf of a company, institution or other organization, you confirm that you have been duly authorized by that organization and that you have the right to accept this agreement on its behalf.
If you do not agree to any part of this agreement, please stop using the services operated or provided by Sogood.
The core OpenPartner open-source code is planned for release under the Apache License 2.0 ("Apache-2.0"). The rights to copy, modify, distribute and otherwise use the open-source code are governed by the LICENSE, NOTICE and third-party licence files in the corresponding code repository.
This agreement primarily governs the OpenPartner official website, the account system, the online services, the official distribution and support services, commercial plugins, model services, trademarks and branding, the official documentation, paid services, and all other service relationships between users and Sogood.
If this agreement conflicts with Apache-2.0 with respect to "licensing rights in the open-source code itself", Apache-2.0 prevails; however, proprietary plugins, AI assets, commercial services, trademarks, non-open-source content and third-party components are not automatically covered by Apache-2.0.
The OpenPartner core platform is open source, but this does not mean the proprietary plugins, industry Skills, format packages, templates, enterprise knowledge, data assets, model services and other commercial capabilities developed or integrated by Sogood are open source at the same time. The applicable rights are determined by the licence of the relevant plugin, the project contract or the service description.
Some services can be used without registration; if you use the online services, team collaboration, commercial plugins, operations or other enterprise features, you may need to create an account or be invited to an organization by an enterprise administrator.
You should provide true, accurate and complete information, and properly safeguard your account, password, keys, access tokens and MCP Keys. You bear the corresponding responsibility for losses caused by improper safeguarding on your part.
Enterprise administrators may allocate roles, departments, resources and permissions according to organizational needs, and may view and manage the account status, shared resources, configurations and operation records of members within the organization. Enterprise users should fulfil the necessary notification and authorization obligations towards their own employees.
If you discover abnormal access, a leak or any other security incident involving an account, key or enterprise environment, you should take prompt measures and contact us.
OpenPartner and related Sogood services may include but are not limited to:
Specific features, delivery scope, fees, service levels and the responsibilities of each party are determined by the website description, order, quotation, project contract, procurement contract or other written agreement.
The OpenPartner core open-source software is available free of charge; Sogood charges fees for proprietary plugins, model proxying, custom development, AI asset construction and governance, servers and operations and maintenance.
The licensing and delivery method of a proprietary plugin may vary depending on its technical origin and underlying licence. Some plugins may contain or depend on third-party open-source software, commercial software, cloud services or data services.
For third-party components or services, your use may additionally be subject to third-party licence agreements, terms of service, privacy policies or fee rules. You should review and comply with the relevant rules before use.
Unless otherwise agreed in writing between the parties, purchasing a plugin or commercial service does not grant you the related source code, trademarks, patents, underlying model weights or any intellectual property beyond the agreed scope.
Where a plugin's open-source licence requires us to provide you with specific source code, a NOTICE, copyright notices or other materials, we will fulfil such obligations in accordance with the applicable licence.
The legal rights in files, prompts, data, templates, business rules, documents, images, video, knowledge and other content that you or your enterprise upload, import, create, store or process through the services (collectively, "User Content") remain with the original right holder in principle.
You should ensure that you hold legitimate and sufficient rights, authorizations or other bases for processing User Content, and must not upload, use or disseminate content that infringes intellectual property, trade secrets, personal information rights or other lawful rights and interests.
If User Content includes personal information, sensitive personal information, important data, core data, financial data or other regulated data, you should fulfil the corresponding obligations according to your own identity, business scenario and applicable law.
Absent proper authorization or where applicable law does not permit it, do not upload state secrets, work secrets, or data that laws and regulations prohibit from being processed or transmitted.
In a fully on-premises deployment where no external service is enabled, User Content is generally managed by the customer within its own environment; if you enable external models, third-party plugins, cloud services or Sogood-hosted or Sogood-operated features, the relevant data may be transmitted to the corresponding service providers according to your configuration.
OpenPartner can connect to various text, image and video generative AI models. AI output is probabilistic and may contain errors, be incomplete or outdated, or involve bias, hallucinations, copyright issues or factual risks.
AI output serves only as an assistive tool and must not be regarded as a guarantee by Sogood of facts, accuracy, compliance, suitability or business outcomes.
You should manually review AI output according to the business scenario, particularly in high-risk or regulated areas such as financial marketing, investor education, legal, finance, medical and work safety.
Unless otherwise agreed in writing between the parties, AI output does not constitute investment advice, securities recommendations, legal opinions, audit opinions, medical advice or any other opinion that must lawfully be provided by a qualified professional.
If you invoke models through your own model accounts or third-party model services, the relevant third party bears the responsibility it is legally required to bear for output quality, availability and data processing rules.
Where the generative AI services directly provided by Sogood are subject to statutory labelling requirements for AI-generated synthetic content, we will add or provide explicit and/or implicit labels on generated or synthesized text, images, audio and video, in accordance with applicable laws, mandatory national standards and the actual product features.
Explicit labels may be presented as "AI generated", "AI assisted" or other text, graphics, sounds or interface cues permitted by law and standards.
Implicit labels may be implemented through file metadata, content identifiers, service provider codes, digital watermarks or other compliant technical means.
You must not maliciously delete, tamper with, forge or conceal AI-generated synthetic content labels that must be retained by law, nor assist others in doing so.
If the platform lawfully provides an export or download option without an explicit label, you should fulfil subsequent labelling obligations in accordance with the platform's instructions and applicable law; we may lawfully retain the relevant recipients and operation logs.
If you publish AI-generated synthetic content on other online platforms, you should proactively declare it and use the necessary labelling functions in accordance with the rules of the publishing platform and applicable law.
You must not use OpenPartner or the related services to:
If you deploy OpenPartner yourself, you are responsible for the configuration and management of the deployment environment, servers, network, database, accounts, keys, backups, patches, security policies and third-party dependencies.
If you purchase Sogood deployment, operations or hosting services, we assume responsibility within the scope of the service agreed in writing between the parties.
When OpenPartner capabilities are invoked through external agents such as WorkBuddy or through external MCP, you should also comply with the rules of the external platform and reasonably configure access permissions, key scope, network boundaries and audit policies.
Problems caused by your own modification of the source code, misconfiguration, use of unofficial versions, failure to apply security patches in time, third-party component defects or operations beyond the scope of the service, shall be borne by the responsible party in accordance with law.
Rights to use the OpenPartner open-source code are governed by Apache-2.0 and the applicable third-party licences.
"OpenPartner", Sogood and related names, logos, trademarks, interface identifiers and official brand assets belong to Shenzhen Sogood Technology Co., Ltd. or the relevant right holder. An open-source licence does not automatically grant trademark rights.
Non-open-source plugins, industry Skills, format packages, templates, industry knowledge, commercial documents, model orchestration, technical solutions and other commercial assets developed or lawfully acquired by Sogood remain the intellectual property of Sogood or the relevant right holder unless otherwise agreed in writing.
Business content, data and customer assets that you create and in which you hold lawful rights remain the property of you or the relevant right holder.
We may adjust the online services, plugins, interfaces and service content in light of product development, changes in laws and regulations, the open-source community, changes in third-party services or security requirements. For changes that materially affect user rights, we will provide notice in a lawful manner through the website, the product interface or other reasonable means.
If you seriously breach this agreement or laws and regulations, or endanger the security of the platform or others, we may take measures within the bounds permitted by law, including restricting functionality, suspending accounts, revoking keys, stopping services or terminating commercial services.
For open-source code, open-source licence rights already obtained under Apache-2.0 do not lapse merely because Sogood stops providing commercial services, but subsequent versions, commercial plugins and support services remain subject to their own rules.
We take reasonable measures to ensure the security, stability and continuity of the services operated by Sogood. However, because of the internet environment, open-source dependencies, third-party models, third-party cloud services, external data sources, network failures, force majeure and technical limitations, we do not promise that the services will never be interrupted or error-free, or that they will fully meet every business requirement.
For the free open-source software portion, to the extent permitted by law, the software is provided "as is" and "as available", and the disclaimers in Apache-2.0 apply accordingly.
For paid services, the scope of liability is determined by applicable law and the contract between the parties. No exclusion or limitation of liability applies to liabilities that cannot lawfully be excluded or limited, including liability for personal injury caused by wilful misconduct or gross negligence.
For content, availability or service quality provided by third-party models, plugins, external agents, data sources and third-party software, we are responsible only to the extent required of us by law.
We take the protection of personal information and data security seriously. For the rules on the processing of personal information, please also read the OpenPartner Privacy Policy. If your enterprise has separately signed a data processing agreement, entrustment agreement or other data protection terms with Sogood, the written agreement between the parties prevails.
OpenPartner is primarily intended for enterprises and professional users. We do not target minors under the age of fourteen as a primary service audience. Where the personal information of minors under fourteen must be processed in accordance with law, the consent of their parents or other guardians must be obtained and special protective measures taken.
We may amend this agreement due to changes in laws and regulations, product feature updates, open-source licence adjustments or changes in the business model. For material changes, we will give notice through the website, the product interface or other reasonable means. Continued use of the relevant services after an update takes effect means that you are aware of the updated content; where the law provides otherwise, the law prevails.
The conclusion, effectiveness, interpretation, performance and dispute resolution of this agreement are governed by the laws of the mainland region of the People's Republic of China. Any dispute arising from or in connection with this agreement should first be resolved through friendly consultation; if consultation fails, either party may bring an action before a people's court with jurisdiction over Sogood's domicile in accordance with law. Where applicable law imposes mandatory rules on jurisdiction for consumers or other categories of subject, those rules prevail.
